Definitions<\/strong><\/h3><ul data-start=\"1162\" data-end=\"1883\"><li data-start=\"1162\" data-end=\"1263\"><p data-start=\"1164\" data-end=\"1263\"><strong data-start=\"1164\" data-end=\"1187\">Client \/ You \/ Your<\/strong> means any individual or business engaging W Creates Digital for Services.<\/p><\/li><li data-start=\"1264\" data-end=\"1530\"><p data-start=\"1266\" data-end=\"1530\"><strong data-start=\"1266\" data-end=\"1278\">Services<\/strong> include social-media marketing and management (Facebook &amp; Instagram), online advertising (Google Ads, YouTube, TikTok, Meta Ads), website design &amp; development, branding, graphic design, content creation, and any related consultancy or creative work.<\/p><\/li><li data-start=\"1531\" data-end=\"1646\"><p data-start=\"1533\" data-end=\"1646\"><strong data-start=\"1533\" data-end=\"1549\">Work Product<\/strong> means any deliverables, creative materials, or digital assets developed during the engagement.<\/p><\/li><li data-start=\"1647\" data-end=\"1812\"><p data-start=\"1649\" data-end=\"1812\"><strong data-start=\"1649\" data-end=\"1693\">Proposal \/ Quotation \/ Subscription Plan<\/strong> means the written document or web page describing the specific scope, deliverables, and fees accepted by the Client.<\/p><\/li><li data-start=\"1813\" data-end=\"1883\"><p data-start=\"1815\" data-end=\"1883\"><strong data-start=\"1815\" data-end=\"1828\">Agreement<\/strong> means these Terms together with the accepted Proposal.<\/p><\/li><\/ul><p>\u00a0<\/p><hr data-start=\"1885\" data-end=\"1888\" \/><h3><strong data-start=\"1893\" data-end=\"1923\">2. Engagement &amp; Acceptance<\/strong><\/h3><p data-start=\"1924\" data-end=\"2154\">By signing a Proposal, completing a subscription checkout, or making payment, you confirm that you have read, understood, and accepted this Agreement.<br data-start=\"2074\" data-end=\"2077\" \/>Where any inconsistency exists, the specific terms in the Proposal prevail.<\/p><p data-start=\"2156\" data-end=\"2235\">You warrant that you are authorised to act on behalf of the entity engaging us.<\/p><p data-start=\"2156\" data-end=\"2235\">\u00a0<\/p><hr data-start=\"2237\" data-end=\"2240\" \/><h3 data-start=\"2242\" data-end=\"2277\"><strong data-start=\"2245\" data-end=\"2277\">3. Licence &amp; Use of Services<\/strong><\/h3><p data-start=\"2278\" data-end=\"2507\">We grant you a limited, non-exclusive, non-transferable licence to access our website and to use the Services and Work Product strictly for your internal business purposes, subject to full payment and compliance with these Terms.<\/p><p data-start=\"2509\" data-end=\"2632\">You shall not reproduce, resell, or redistribute any Work Product or materials created by us without prior written consent.<\/p><p data-start=\"2509\" data-end=\"2632\">\u00a0<\/p><hr data-start=\"2634\" data-end=\"2637\" \/><h3 data-start=\"2639\" data-end=\"2670\"><strong data-start=\"2642\" data-end=\"2670\">4. Fees, Payment &amp; Taxes<\/strong><\/h3><ol data-start=\"2671\" data-end=\"3432\"><li data-start=\"2671\" data-end=\"2750\"><p data-start=\"2674\" data-end=\"2750\">All fees are quoted in <strong data-start=\"2697\" data-end=\"2724\">Singapore Dollars (SGD)<\/strong> and payable in advance.<\/p><\/li><li data-start=\"2751\" data-end=\"2839\"><p data-start=\"2754\" data-end=\"2839\"><strong data-start=\"2754\" data-end=\"2805\">W Creates Digital Pte Ltd is not GST-registered<\/strong>; our service fees are GST-free.<\/p><\/li><li data-start=\"2840\" data-end=\"3055\"><p data-start=\"2843\" data-end=\"3055\">Advertising costs charged directly by third-party platforms (Facebook, Instagram, Google, YouTube, TikTok, etc.) may include GST or other taxes imposed by those platforms and are payable by the Client directly.<\/p><\/li><li data-start=\"3056\" data-end=\"3157\"><p data-start=\"3059\" data-end=\"3157\">Invoices are due on receipt unless otherwise stated. Late payments may incur suspension of work.<\/p><\/li><li data-start=\"3158\" data-end=\"3222\"><p data-start=\"3161\" data-end=\"3222\">Payments are <strong data-start=\"3174\" data-end=\"3192\">non-refundable<\/strong> once the Service commences.<\/p><\/li><li data-start=\"3223\" data-end=\"3345\"><p data-start=\"3226\" data-end=\"3345\">Unless agreed otherwise, we may withhold or disable access to unfinished Work Product until full payment is received.<\/p><\/li><li data-start=\"3346\" data-end=\"3432\"><p data-start=\"3349\" data-end=\"3432\">No set-off, counter-claim, or withholding is permitted except as required by law.<\/p><\/li><\/ol><p>\u00a0<\/p><hr data-start=\"3434\" data-end=\"3437\" \/><h3 data-start=\"3439\" data-end=\"3477\"><strong data-start=\"3442\" data-end=\"3477\">5. Intellectual Property Rights<\/strong><\/h3><ul data-start=\"3478\" data-end=\"4066\"><li data-start=\"3478\" data-end=\"3612\"><p data-start=\"3480\" data-end=\"3612\">We remain the sole owner of all intellectual property, know-how, templates, and pre-existing materials (\u201cCompany Background IPR\u201d).<\/p><\/li><li data-start=\"3613\" data-end=\"3732\"><p data-start=\"3615\" data-end=\"3732\">Upon full payment, you receive ownership of the final deliverables (newly created IP) solely for your business use.<\/p><\/li><li data-start=\"3733\" data-end=\"3894\"><p data-start=\"3735\" data-end=\"3894\">We retain a perpetual, royalty-free licence to display completed work, screenshots, or case studies in our portfolio unless you request otherwise in writing.<\/p><\/li><li data-start=\"3895\" data-end=\"4066\"><p data-start=\"3897\" data-end=\"4066\">You confirm that any materials you supply (logos, text, images, footage, etc.) do not infringe any third-party rights, and you indemnify us against all related claims.<\/p><\/li><\/ul><p>\u00a0<\/p><hr data-start=\"4068\" data-end=\"4071\" \/><h3 data-start=\"4073\" data-end=\"4107\"><strong data-start=\"4076\" data-end=\"4107\">6. Confidential Information<\/strong><\/h3><p data-start=\"4108\" data-end=\"4297\">Both parties agree to keep all non-public business information strictly confidential and to use it only for the purpose of fulfilling this Agreement.<br data-start=\"4257\" data-end=\"4260\" \/>This obligation survives termination.<\/p><p data-start=\"4108\" data-end=\"4297\">\u00a0<\/p><hr data-start=\"4299\" data-end=\"4302\" \/><h3 data-start=\"4304\" data-end=\"4344\"><strong data-start=\"4307\" data-end=\"4344\">7. Client Obligations and Conduct<\/strong><\/h3><p data-start=\"4345\" data-end=\"4360\">You agree to:<\/p><ul data-start=\"4361\" data-end=\"4789\"><li data-start=\"4361\" data-end=\"4446\"><p data-start=\"4363\" data-end=\"4446\">Provide accurate, timely information, approvals, and login access where required.<\/p><\/li><li data-start=\"4447\" data-end=\"4537\"><p data-start=\"4449\" data-end=\"4537\">Respond within <strong data-start=\"4464\" data-end=\"4489\">ten (10) working days<\/strong> to our communications to avoid project delay.<\/p><\/li><li data-start=\"4538\" data-end=\"4603\"><p data-start=\"4540\" data-end=\"4603\">Treat our staff and partners respectfully and professionally.<\/p><\/li><li data-start=\"4604\" data-end=\"4693\"><p data-start=\"4606\" data-end=\"4693\">Refrain from using our Work Product for unlawful, defamatory, or misleading purposes.<\/p><\/li><li data-start=\"4694\" data-end=\"4789\"><p data-start=\"4696\" data-end=\"4789\">Pay all fees and additional costs for extra revisions, rush requests, or out-of-scope work.<\/p><\/li><\/ul><p data-start=\"4791\" data-end=\"4824\">You represent and warrant that:<\/p><ul data-start=\"4825\" data-end=\"4984\"><li data-start=\"4825\" data-end=\"4866\"><p data-start=\"4827\" data-end=\"4866\">You have full authority to engage us;<\/p><\/li><li data-start=\"4867\" data-end=\"4920\"><p data-start=\"4869\" data-end=\"4920\">All information provided is true and current; and<\/p><\/li><li data-start=\"4921\" data-end=\"4984\"><p data-start=\"4923\" data-end=\"4984\">Your engagement does not breach any other agreement or law.<\/p><\/li><\/ul><p>\u00a0<\/p><hr data-start=\"4986\" data-end=\"4989\" \/><h3 data-start=\"4991\" data-end=\"5028\"><strong data-start=\"4994\" data-end=\"5028\">8. Revisions &amp; Additional Work<\/strong><\/h3><ul data-start=\"5029\" data-end=\"5407\"><li data-start=\"5029\" data-end=\"5123\"><p data-start=\"5031\" data-end=\"5123\">Each deliverable includes <strong data-start=\"5057\" data-end=\"5076\">up to three (3)<\/strong> rounds of revisions unless otherwise stated.<\/p><\/li><li data-start=\"5124\" data-end=\"5256\"><p data-start=\"5126\" data-end=\"5256\">Significant design or content changes beyond the approved scope will incur extra charges (typically S$25 per hour or as quoted).<\/p><\/li><li data-start=\"5257\" data-end=\"5407\"><p data-start=\"5259\" data-end=\"5407\">Expedited (\u201crush\u201d) work or requests outside normal business hours (Mon\u2013Fri 9 am\u20136 pm SGT, excluding public holidays) are subject to additional fees.<\/p><\/li><\/ul><p>\u00a0<\/p><hr data-start=\"5409\" data-end=\"5412\" \/><h3 data-start=\"5414\" data-end=\"5447\"><strong data-start=\"5417\" data-end=\"5447\">9. Limitation of Liability<\/strong><\/h3><ul data-start=\"5448\" data-end=\"5990\"><li data-start=\"5448\" data-end=\"5578\"><p data-start=\"5450\" data-end=\"5578\">Services are provided on an <strong data-start=\"5478\" data-end=\"5508\">\u201cas is\u201d and \u201cas available\u201d<\/strong> basis. We make no guarantee of specific marketing or sales results.<\/p><\/li><li data-start=\"5579\" data-end=\"5696\"><p data-start=\"5581\" data-end=\"5696\">We are not liable for indirect, incidental, or consequential losses including loss of profits, goodwill, or data.<\/p><\/li><li data-start=\"5697\" data-end=\"5865\"><p data-start=\"5699\" data-end=\"5865\">We are not responsible for factors outside our control such as changes in platform algorithms, influencer conduct, market conditions, or third-party system outages.<\/p><\/li><li data-start=\"5866\" data-end=\"5990\"><p data-start=\"5868\" data-end=\"5990\">Our maximum aggregate liability to you shall not exceed the total fees paid to us in the <strong data-start=\"5957\" data-end=\"5987\">preceding three (3) months<\/strong>.<\/p><\/li><\/ul><p>\u00a0<\/p><hr data-start=\"5992\" data-end=\"5995\" \/><h3 data-start=\"5997\" data-end=\"6019\"><strong data-start=\"6000\" data-end=\"6019\">10. Termination<\/strong><\/h3><ul data-start=\"6020\" data-end=\"6379\"><li data-start=\"6020\" data-end=\"6106\"><p data-start=\"6022\" data-end=\"6106\">Either party may terminate the engagement with <strong data-start=\"6069\" data-end=\"6103\">one (1) month\u2019s written notice<\/strong>.<\/p><\/li><li data-start=\"6107\" data-end=\"6194\"><p data-start=\"6109\" data-end=\"6194\">We may terminate immediately for non-payment, misconduct, or breach of these Terms.<\/p><\/li><li data-start=\"6195\" data-end=\"6256\"><p data-start=\"6197\" data-end=\"6256\">Upon termination, all outstanding amounts remain payable.<\/p><\/li><li data-start=\"6257\" data-end=\"6323\"><p data-start=\"6259\" data-end=\"6323\">You will retain completed Work Product only upon full payment.<\/p><\/li><li data-start=\"6324\" data-end=\"6379\"><p data-start=\"6326\" data-end=\"6379\">Confidentiality and IP clauses survive termination.<\/p><\/li><\/ul><p>\u00a0<\/p><hr data-start=\"6381\" data-end=\"6384\" \/><h3 data-start=\"6386\" data-end=\"6415\"><strong data-start=\"6389\" data-end=\"6415\">11. Dispute Resolution<\/strong><\/h3><p data-start=\"6416\" data-end=\"6839\">Any dispute arising from or relating to these Terms shall first be attempted to be resolved amicably within 30 days.<br data-start=\"6532\" data-end=\"6535\" \/>If unresolved, the dispute shall be submitted to <strong data-start=\"6584\" data-end=\"6637\">mediation at the Singapore Mediation Centre (SMC)<\/strong> before either party commences court proceedings.<br data-start=\"6686\" data-end=\"6689\" \/>These Terms are governed by and construed in accordance with the laws of <strong data-start=\"6762\" data-end=\"6775\">Singapore<\/strong>, and the courts of Singapore shall have exclusive jurisdiction.<\/p><p data-start=\"6416\" data-end=\"6839\">\u00a0<\/p><hr data-start=\"6841\" data-end=\"6844\" \/><h3 data-start=\"6846\" data-end=\"6909\"><strong data-start=\"6849\" data-end=\"6909\">12. Privacy Policy (Compliance with Singapore PDPA 2012)<\/strong><\/h3><h3 data-start=\"6910\" data-end=\"6948\">12.1 Collection of Personal Data<\/h3><p data-start=\"6949\" data-end=\"7117\">We may collect personal data (name, email, phone number, company, payment info, etc.) when you visit our website, submit enquiries, subscribe, or communicate with us.<\/p><p data-start=\"6949\" data-end=\"7117\">\u00a0<\/p><h3>12.2 Use of Personal Data<\/h3><p data-start=\"7151\" data-end=\"7178\">Your data may be used to:<\/p><ul data-start=\"7179\" data-end=\"7473\"><li data-start=\"7179\" data-end=\"7215\"><p data-start=\"7181\" data-end=\"7215\">Deliver and manage our Services;<\/p><\/li><li data-start=\"7216\" data-end=\"7250\"><p data-start=\"7218\" data-end=\"7250\">Process payments and invoices;<\/p><\/li><li data-start=\"7251\" data-end=\"7304\"><p data-start=\"7253\" data-end=\"7304\">Provide project updates and respond to enquiries;<\/p><\/li><li data-start=\"7305\" data-end=\"7438\"><p data-start=\"7307\" data-end=\"7438\">Send marketing information about <strong data-start=\"7340\" data-end=\"7363\">W Creates Digital\u2019s<\/strong> own products or promotions (where consent is given or permitted by law);<\/p><\/li><li data-start=\"7439\" data-end=\"7473\"><p data-start=\"7441\" data-end=\"7473\">Comply with legal obligations.<\/p><\/li><\/ul><p>\u00a0<\/p><h3>12.3 Disclosure of Data<\/h3><p data-start=\"7505\" data-end=\"7530\">We may share data with:<\/p><ul data-start=\"7531\" data-end=\"7797\"><li data-start=\"7531\" data-end=\"7613\"><p data-start=\"7533\" data-end=\"7613\">Employees, subcontractors, or service providers assisting in service delivery;<\/p><\/li><li data-start=\"7614\" data-end=\"7692\"><p data-start=\"7616\" data-end=\"7692\">Third-party advertising or payment platforms (e.g., Meta, Google, TikTok);<\/p><\/li><li data-start=\"7693\" data-end=\"7797\"><p data-start=\"7695\" data-end=\"7797\">Government agencies when required by law.<br data-start=\"7736\" data-end=\"7739\" \/>We will <strong data-start=\"7747\" data-end=\"7767\">not sell or rent<\/strong> your data to third parties.<\/p><\/li><\/ul><p>\u00a0<\/p><h3 data-start=\"7799\" data-end=\"7835\">12.4 Data Security &amp; Retention<\/h3><p data-start=\"7836\" data-end=\"7963\">We use reasonable safeguards to protect personal data and retain it only as long as necessary for business or legal purposes.<\/p><p data-start=\"7836\" data-end=\"7963\">\u00a0<\/p><h3 data-start=\"7965\" data-end=\"8004\">12.5 Access &amp; Correction Requests<\/h3><p data-start=\"8005\" data-end=\"8178\">To access, correct, or withdraw consent for your personal data, email <strong data-start=\"8075\" data-end=\"8104\"><a class=\"decorated-link cursor-pointer\" rel=\"noopener\" data-start=\"8077\" data-end=\"8102\">hello@wcreatesdigital.com<\/a><\/strong>.<br data-start=\"8105\" data-end=\"8108\" \/>We will respond within a reasonable timeframe under PDPA guidelines.<\/p><p data-start=\"8005\" data-end=\"8178\">\u00a0<\/p><hr data-start=\"8180\" data-end=\"8183\" \/><h3 data-start=\"8185\" data-end=\"8206\"><strong data-start=\"8188\" data-end=\"8206\">13.
